Affiliate Terms

1. About These Terms

These Affiliate Terms (“Terms”) govern your participation in the GridPanel affiliate programme (the “Programme”). The Programme is run by Movil Ltd, trading as GridPanel, of 20-22 Wenlock Road, London, England, N1 7GU (“GridPanel”, “we”, “our” or “us”). “You” means the person or organisation taking part in the Programme.

These Terms apply in addition to our Terms of Service and Privacy Policy, which continue to govern your use of your GridPanel account. If these Terms conflict with our Terms of Service on anything to do with the Programme, these Terms take priority.

By sharing your Affiliate Link, or by accepting any Commission, you agree to these Terms. If you do not agree, do not take part in the Programme. If you take part on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.

The Programme is non-exclusive. You are free to promote other products and services, including ones similar to ours, and we are free to work with other affiliates, partners and resellers, and to sell our services to anyone directly.

2. Definitions

  • Affiliate Dashboard – the affiliate page in your GridPanel dashboard, where your Affiliate Link, referrals and Commission are shown.
  • Affiliate Link – the unique referral link shown in your Affiliate Dashboard.
  • Referred User – a person or organisation that registers a new GridPanel account after clicking your Affiliate Link, and whose account we record as referred by you.
  • Qualifying Payment – a payment made by a Referred User to GridPanel (for example, a balance top-up) that we have received and that has not been refunded, reversed, disputed or charged back. Credit that we grant ourselves, such as free trial, gift, review, promotional or affiliate credit, is not a Qualifying Payment.
  • Commission – the amount you earn on Qualifying Payments under section 5.

3. Joining the Programme

Every GridPanel account has access to the Affiliate Dashboard, so you do not need to apply separately. You must keep your account details accurate and your account in good standing, and comply with these Terms at all times.

We may refuse to let you take part, suspend your participation, or remove you from the Programme at any time at our discretion, including if we reasonably believe you have broken these Terms or our Terms of Service.

4. Referrals and Tracking

When someone clicks your Affiliate Link, we store a cookie in their browser that identifies you. A referral is recorded only if that person then registers a new GridPanel account while the cookie is still present. If someone has clicked more than one affiliate's link, the first link they clicked is the one that counts.

A referral can only be recorded when an account is registered. We cannot add a referral to an account afterwards, and anyone who already has, or previously had, a GridPanel account cannot become your Referred User.

Referred Users must be genuine and independent of you, and you must not benefit from their purchases, directly or indirectly, other than through Commission. This includes, but is not limited to: you using their account or proxies; them using your account or proxies; referrals from your own household or organisation; and referrals obtained by offering an incentive.

We decide, at our reasonable discretion, whether a referral is valid, and we do not have to give reasons. Where more than one affiliate may have contributed to a sign-up, we decide which affiliate, if any, is credited.

Tracking relies on cookies and may not always work, for example if the person clears or blocks cookies, closes their browser before registering, or registers using a different browser or device. We are not responsible for any Commission lost because a referral was not tracked.

5. Commission and Payment

You earn Commission of 10% of each Qualifying Payment made by your Referred Users. Commission continues for as long as you take part in the Programme, on up to the first 10,000 (in the Referred User's currency, e.g. £10,000, $10,000 or €10,000) of Qualifying Payments made by each Referred User. Payments made after that limit is reached do not earn Commission.

Commission first appears in your Affiliate Dashboard as pending. Once 60 days have passed since the Qualifying Payment was made, and it has not been refunded, disputed or charged back in that time, the Commission becomes eligible for review. We may extend this holding period for as long as is reasonably necessary to check that a payment or referral is genuine.

You can request a payout of eligible Commission from your Affiliate Dashboard. We will review each request and, if we approve it, pay the Commission as credit to your GridPanel account balance. When we pay Commission as account credit we add a 50% bonus, so the credit you receive equals 15% of the Qualifying Payment. All Commission amounts shown in your Affiliate Dashboard already include this bonus.

Account credit can only be used to pay for GridPanel services. It has no cash value, cannot be withdrawn, exchanged or transferred to another account, and is subject to our Terms of Service in the same way as any other account balance.

Commission is calculated and paid in the currency of your GridPanel account. Where a Qualifying Payment was made in a different currency, we convert it using an exchange rate we choose at the time of calculation.

We pay Commission only once on any Qualifying Payment. We do not pay Commission on a payment if the Referred User has paid you, or agreed to pay you, a fee for referring them, or if paying it would be unlawful.

We may withhold, cancel or reverse Commission, including Commission already credited to your balance, if the related payment is later refunded, disputed or charged back, or if we reasonably believe the Commission was obtained through fraud, misuse of the Programme or a breach of these Terms. We may recover any such amounts by deducting them from your account balance or from future Commission.

We may change the Commission rate, the bonus, the holding period or any other part of the Programme under section 11. Changes do not affect Commission that is already eligible for review.

You are responsible for any taxes that apply to Commission you receive.

6. Promoting GridPanel

You must promote GridPanel honestly and lawfully. In particular, you must:

  • clearly disclose that you are a GridPanel affiliate and may earn Commission wherever you share your Affiliate Link, in line with the advertising rules that apply to you (such as the UK CAP Code);
  • describe GridPanel's services accurately, and not make claims about them that are false or misleading or that we do not make ourselves, such as promising results, guarantees, or prices or features we do not offer;
  • comply with all laws that apply to your marketing, including laws on unsolicited email and messages, and promptly honour any request to opt out, unsubscribe or stop being contacted;
  • follow the rules of any website, forum, marketplace, social network or advertising platform where you promote GridPanel; and
  • make sure anyone promoting GridPanel on your behalf follows these Terms.

You must not:

  • buy or run paid advertising (for example search, social or display ads) that links to GridPanel or to your Affiliate Link and competes with our own advertising, including any ads that bid on “GridPanel” or similar keywords or misspellings;
  • use cookie stuffing, pop-ups, pop-unders, hidden or invisible frames, automatic redirects, or any other method that sets our cookie without the person knowingly clicking your Affiliate Link;
  • use false or misleading links, or hide or disguise where your traffic comes from;
  • generate referrals using bots, scripts, fake accounts, bought or scraped lists of personal data, or any other automated or artificial means;
  • use your own Affiliate Link to register accounts for yourself, or refer accounts that you or your organisation control;
  • offer cashback, rebates, a share of your Commission or any other incentive to get people to sign up or buy through your Affiliate Link;
  • send spam or unsolicited messages, or post your Affiliate Link anywhere it is not allowed;
  • promote GridPanel for any use our Terms of Service prohibit, or alongside any unlawful, obscene or offensive content; or
  • present yourself as GridPanel, or suggest that you are our employee, official partner or reseller, or that we endorse you.

7. Our Name and Logo

While you take part in the Programme, you may use the GridPanel name, and any logos or images we provide for affiliates, only to promote GridPanel through your Affiliate Link. You must not alter them, use them in a misleading or disparaging way, or use them in a way that suggests we sponsor or endorse you or your products.

You must not register or use any domain name, social media account, username or app name that contains “GridPanel” or anything confusingly similar. We may ask you to change or stop any use of our name or logos at any time, and you must do so promptly.

GridPanel, our services, website, software and content belong to us or our licensors. Apart from the limited permission in this section, these Terms do not give you any licence or other rights in them.

8. Confidentiality

We may share non-public information with you in connection with the Programme, such as information in your Affiliate Dashboard about your referrals, details of your Commission, or plans we tell you about privately. You must keep this information confidential, use it only for taking part in the Programme, and protect it with at least the care you use for your own confidential information. This continues to apply after you stop taking part in the Programme.

This does not apply to information that is or becomes public through no fault of yours, that you already knew, that you lawfully received from someone else, or that you developed independently.

9. Personal Data

You and we are each an independent controller of any personal data we each handle in connection with the Programme. We process personal data in line with our Privacy Policy and applicable data protection law, including the UK GDPR. We do not share Referred Users' personal details with you beyond what is shown in your Affiliate Dashboard.

If you collect personal data while promoting GridPanel, for example through a mailing list, you are responsible for doing so lawfully, including having a valid legal basis and giving people any required privacy information.

10. Ending Participation

You can stop taking part in the Programme at any time by contacting support.

We may end your participation for any reason by giving you 15 days' notice. We may end it immediately if you break these Terms or our Terms of Service, if we reasonably suspect fraud or misuse of the Programme, if your account is suspended or closed, or if we reasonably believe your conduct has harmed, or may harm, GridPanel, our reputation or our customers.

When your participation ends:

  • if we ended it on notice, or you ended it because you did not accept a change to these Terms, we will still pay Commission on Qualifying Payments that become eligible for review within 30 days after the end date, in line with section 5;
  • if you ended it for any other reason, or we ended it immediately under this section, any Commission not already paid to your balance is forfeited;
  • you must stop using your Affiliate Link and our name and logos, and remove references to the Programme from your websites and materials; and
  • your Referred Users remain GridPanel customers, and their accounts are not affected.

Sections 5 (for Commission already earned), 7, 8, 9, 10, 12 and 13 continue to apply after your participation ends.

11. Changes to These Terms

We may update or replace these Terms from time to time. When we do, we will post the new version on this page with an updated “Last updated” date and let you know by email or in your dashboard. Changes take effect on the next business day after we notify you.

If you do not agree to a change, you must stop taking part in the Programme. If you tell us within 10 days of our notice that you are leaving because of the change, section 10 applies as if we had ended your participation on notice.

12. Liability and Indemnity

The Programme, the Affiliate Dashboard and referral tracking are provided “as is” and “as available”. To the fullest extent permitted by law, we make no promises about their availability, accuracy or reliability, and we do not guarantee that you will earn any Commission.

To the fullest extent permitted by law, neither you nor we are liable to the other for any indirect or consequential loss, or for any loss of profit, revenue or business opportunity, arising out of or in connection with the Programme or these Terms.

Our total liability to you arising out of or in connection with the Programme or these Terms is limited to the total Commission you earned in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud.

You will indemnify us, and our officers, employees and agents, against any third-party claims, losses, costs and expenses (including reasonable legal fees) arising out of your participation in the Programme, your marketing activities, or your breach of these Terms. We will tell you promptly about any such claim, and you must not settle it in a way that imposes any obligation or admission on us without our written consent.

13. General

  • Relationship: you are an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship, and you have no authority to make commitments on our behalf.
  • Sanctions and export controls: you must comply with all applicable sanctions and export control laws, including those of the UK, EU, US and UN, and must not promote or provide access to GridPanel to anyone in a sanctioned country or on a sanctions list.
  • Assignment: you may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to any group company, or to a buyer of all or part of our business.
  • Entire agreement: these Terms, together with our Terms of Service and Privacy Policy, are the entire agreement between you and us about the Programme, and replace any earlier conditions, discussions or arrangements. Any terms you propose do not apply.
  • No waiver: if we delay or do not enforce any right, we have not waived it.
  • Severability: if any part of these Terms is found invalid or unenforceable, it will be replaced with a valid provision that comes closest to its intent, and the rest of these Terms will continue to apply.
  • Events outside our control: neither you nor we are responsible for failing or delaying performance because of events beyond our reasonable control, such as war, natural disasters, government action, or internet, power or telecommunications failures not caused by the party concerned.
  • Time limit for claims: except for claims about unpaid amounts or infringement of intellectual property, any claim arising out of or relating to these Terms must be brought within one year after it arose.
  • Third parties: no one other than you and us has any right to enforce these Terms, including under the Contracts (Rights of Third Parties) Act 1999.
  • Notices: we may give you notices by email to the address on your GridPanel account, or in your dashboard. You can contact us at support@gridpanel.net, or by post at Movil Ltd, 20-22 Wenlock Road, London, England, N1 7GU.
  • Language: these Terms are written in English. If we provide a translation, the English version prevails.
  • Governing law and jurisdiction: these Terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
